 PROSHIELD PAINTS OFFICIAL DISTRIBUTOR POLICY

 Notice: This document outlines the general terms governing the appointment, sales operations, inventory management, and relationship between ProShield Paints (the Company) and its Authorized Distributors (the Distributor).

1. Eligibility & Facility Requirements

To maintain authorized status, distributors must fulfill the following criteria:

  • Business Registration: Must possess a valid commercial business registration and tax identification number.
  • Storage Facilities: Provide a suitable, clean, dry, and ventilated warehouse space to safely store paint products away from direct heat and contamination.
  • Sales Reach: Demonstrate an active network of retail outlets, contractors, or secondary buyers in the designated operating territory.

2. Territory & Non-Exclusivity

  • Territory Assignment: Distributors are assigned specific geographical territories for primary distribution activities.
  • Cross-Territory Sales: Distributors shall not actively solicit orders or set up fulfillment centers outside their designated territory without written approval from ProShield management.

3. Pricing, Orders & Payment Terms

  • Price Schedules: Product supply prices are based on official distributor price lists issued by ProShield Paints. The company reserves the right to adjust wholesale pricing with prior written notification.
  • Minimum Order Quantity (MOQ): Orders must meet the minimum volume threshold defined for the distributor’s assigned tier.
  • Payment Terms: Initial stock purchases operate on a Payment Before Dispatch (PBD) basis. Credit facilities are subject to formal credit approval, bank guarantees, and sales performance history.

4. Product Quality, Returns & Warranties

  • Quality Standard: ProShield Paints warrants that all products supplied comply with strict manufacturing standards and are free from structural defects.
  • Inspection upon Delivery: Distributors must inspect shipments upon arrival. Any discrepancies, container damage, or short-shipments must be noted on the delivery documentation and reported within 72 hours.
  • Limited Liability: Company liability for confirmed defective stock is strictly limited to product replacement or credit notes equivalent to the cost of the damaged goods.

5. Brand Representation & Intellectual Property

  • Trademarks: Distributors are granted a non-exclusive license to display the ProShield brand logo and trademarks strictly for advertising and selling authentic ProShield products.
  • Packaging Integrity: Paints must be sold in their original, unopened factory packaging. Altering, re-labeling, or diluting products is strictly prohibited and grounds for immediate contract termination.

6. Termination of Dealership

Either party may terminate the distribution agreement by providing 30 days' written notice. ProShield Paints reserves the right to immediately terminate dealership rights in cases of breach of policy, selling counterfeit goods, or extended default on invoice payments.
